Represents shares automatically sold pursuant to the prespecified terms of the applicable Restricted Stock Unit Agreement to satisfy the reporting person's minimum statutory withholding obligations with respect to the income recognized by the reporting person upon the vesting of the restricted stock units on June 30, 2017. |
3. These shares were disposed of in multiple transactions on July 5, 2017 at actual sales prices ranging from $2.55 to $2.64 per share. Know all by these presents that the undersigned hereby constitutes and appoints David F. Carroll and Barbara A. Wood, each acting individually, with full power of substitution, the undersigneds true and lawful attorney-in-fact to:
(1) prepare, execute in the undersigneds name and on the undersigneds behalf, and submit to the U.S. Securities and Exchange Commission (the SEC) a Form ID, including amendments thereto, and any other documents necessary or appropriate to obtain codes and passwords enabling the undersigned to make electronic filings with the SEC of reports required by Section 16(a) of the Securities Exchange Act of 1934, as amended, or any rule or regulation of the SEC;
(2) execute for and on behalf of the undersigned, in the undersigneds capacity as an officer and/or director of Ophthotech Corporation (the Company), Forms 3, 4, and 5 in accordance with Section 16(a) of the Securities Exchange Act of 1934, as amended, and the rules thereunder;
